Unless otherwise stated in the Order, the Seller may only invoice Lactalis Nestle Chilled Dairy COmpany Ltd (the Buyer) on or after delivery of the Goods or supply of the Services with a separate invoice for each individual delivery or supply. Invoices will not be accepted unless they quote the number of the relevant Order. Invoices shall be sent to address specified by the Order. Unless otherwise agreed, the Buyer shall pay the Price of the Goods and the Services 45 days after the receipt by the Buyer of a proper invoice / monthly statement of account or, if later, after acceptance of the Goods or Service in question by the Buyer. Any credit note issued by the Seller shall quote the relevant Order Number and Invoice Number. The Buyer shall be entitled to deduct from the Price:- a) the unit price for such proportions of the Goods as may be defective and rejected by the Buyer together with the costs of returning such Goods to the Seller; b) any cost or expense incurred by the Buyer as a consequence of the Seller failing to deliver the Goods on time or to the correct destination or supplying goods which do not comply with Specification; c) the fees or other charges or other costs incurred by the Buyer arising out of any Services not provided or provided inadequately by the Seller to the Buyer; d) any sums owing by the Seller to the Buyer or any other company within the Sellers Group on any contract.
